CL Group appoints Andre Chin as Independent Director and Remuneration Committee Chair, restoring full GEM compliance

CL Group (Holdings) Limited announced the appointment of Mr. Andre Chin Suet Lam as Independent Non-Executive Director, Chairman of the Remuneration Committee, and member of the Audit Committee, effective 12 August 2026.

Mr. Chin, aged 50, holds a Bachelor of Commerce from The University of Edinburgh and brings over 20 years of experience in luxury brand management, large-scale public relations campaigns, and cross-border real estate investment. His service contract carries no fixed term; remuneration is set at HK$0.12 million per annum. The company confirmed that Mr. Chin has no relationships with existing directors, senior management, or substantial shareholders, and he holds no shares in CL Group. He also meets all independence criteria under GEM Listing Rule 5.09.

With this appointment, CL Group now satisfies multiple corporate-governance requirements under the GEM Listing Rules: at least three independent non-executive directors on the Board (Rule 5.05(1)); a minimum of three Audit Committee members (Rule 5.28); and a Remuneration Committee chaired by, and comprising a majority of, independent non-executive directors (Rule 5.34).

Post-appointment, the Board comprises Executive Directors Mr. Kwok Kin Chung (Chief Executive Officer), Mr. Lau Kin Hon, and Ms. Yu Linda, alongside Independent Non-Executive Directors Mr. Poon Wing Chuen, Ms. Lau Ka Nam, and Mr. Andre Chin.
