Times China Adds 113,948 Shares Following Convertible Bond Conversions

Times China Holdings Limited disclosed a marginal increase in its share capital after two separate conversions of its 2027 Zero Coupon Mandatory Convertible Bonds (MCB I and MCB II) on 09 October 2026.

The company allotted and issued: • 100,295 new ordinary shares upon conversion of MCB I, representing 0.003 % of its pre-event issued share capital. The shares were issued at HKD 6FF305 per share. • 13,653 new ordinary shares upon conversion of MCB II, equal to 0.0005 % of the previous share base, at HKD 10 per share.

Following these conversions, Times China’s total issued shares (excluding treasury shares) rose from 3,004.51 million to 3,004.63 million, an aggregate increase of 0.0038 %. The company confirmed that no treasury shares were held, redeemed or repurchased during the period, and all regulatory and listing rule requirements have been satisfied.
